Terms and Conditions of Business

Interpretation

In these Terms and Conditions (Terms), the following words and phrases shall have the following meanings:

“The Buyer” means the person, firm or company who purchases the Goods from the Company.

“The Company” means Projected Image UK Ltd.

“Contract” means the contract between the Company and the Buyer, which shall be deemed to incorporate these Terms.

“Goods” means any goods agreed in the Contract to be supplied by the Company to the Buyer.

“Place of Delivery” means the place to which the Goods are to be delivered.

In these Terms, reference to any statute or statutory provision shall be construed as a reference to such statute or statutory provision as amended, modified, re-enacted or replaced from time-to-time.


The Contract

The Contract shall be on these Terms to the exclusion of all other terms and conditions, including any such terms and conditions that are purported to be included or applied by the Buyer.

No terms and conditions contained in the confirmation of order, purchase order, or other document of the Buyer will form part of the Contract.

Acceptance of Terms

By using this site, you agree to adhere to our Terms and Conditions. Your continued use of the site signifies your acceptance of these terms and any modifications made to them.


Delivery

Unless otherwise agreed in writing, the Place of Delivery shall be the Company’ premises and the Buyer shall take delivery within 7 days of the Company notifying the Buyer that the Goods are ready for delivery.

Any dates specified by the Company for delivery of the Goods are intended to be an estimate only. If no date is specified for delivery of the Goods, delivery shall be within a reasonable time.

Subject to the other provisions of these Terms, the Company shall not be liable for any loss, whether direct or consequential, economic or loss of profits or otherwise, arising directly or indirectly out of any delay in the delivery of the Goods nor will any delay entitle the Buyer to terminate or rescind the Contract unless the delay exceeds 60 days.


Risk in and Ownership of the Goods

Risk in the Goods shall pass to the Buyer on delivery. Ownership in the Goods shall not pass to the Buyer until the Company has received in full in cleared funds all sums due to the Company in respect of the Goods and all other sums which are or may become due to the Company from the Buyer on any account.

Until ownership of the Goods has passed to the Buyer, the Buyer shall:

  • hold the Goods on a fiduciary basis as the Company’s bailee
  • store the Goods separately from all other goods of the Buyer or any third party in such a way that they remain identifiable as the Company’s property
  • not destroy or deface any identifying mark on the Goods or their packaging
  • maintain the Goods in satisfactory condition
  • insure the Goods with the Company’s interest noted on the policy and hold any proceeds of such insurance on trust for the Company and not mix them with any other money.

Price

The price for the Goods shall, unless otherwise agreed, be the price set out on the date of delivery in the Company’s price list. The price for the Goods shall be exclusive of all costs of carriage and insurance and applicable VAT which the Buyer shall pay in addition. Unless otherwise agreed, the Buyer shall pay in advance in cleared funds all sums due to the Company in respect of the Goods and all other sums which are or may become due to the Company from the Buyer on any account.


Payment

Payment of the price of the Goods shall be due 30 days from the date of the Company’s invoice for the Goods.

Payment shall not be deemed to have taken place until the receipt by the Company of cleared funds.


Warranties

The Company warrants that the Goods are of satisfactory quality.

If the Buyer wishes to make a claim under this warranty, the Buyer shall give written notice to the Company within 14 days of the discovery of the defect and give the Company a reasonable opportunity to inspect the Goods in question.

The Company shall not be liable for any breach of warranty if the Buyer makes any further use of the Goods after giving such notice or alters or repairs the Goods without the agreement of the Company.

The Company shall not be liable for any breach of warranty if the Buyer fails to handle the Goods in accordance with the Company’s handling and installation instructions.

Furthermore, the Goods must be installed by an appropriately qualified technician in accordance with the specifications of any projection or lighting equipment.

The Company’s liability under the warranty shall be limited to repairing or replacing the Goods in question or refunding the price of such Goods.


Exchange and Returns

The Company warrants that the goods are of satisfactory quality. If the Buyer is not satisfied with the Goods as laid out in the Contract, the Company may at its sole discretion offer to exchange or re-manufacture said Goods. This is subject to the provisions as laid out in this text.

Returns Policy

All of our projectors come with a minimum of 1 year warranty. Goods are NOT supplied on a trial basis. If found to be faulty from new they can be returned for replacement or refund.

You have the right to return up to 14 days from the day delivery has been made. Goods that have been made to order or to a chosen specification (i.e Gobos) or that have been opened/unsealed cannot be returned under the 14 day "Cooling Off Period".

You must provide us with written notification either by letter or email giving details of the goods ordered and their delivery where appropriate.

Once we have been notified, you must return the goods immediately. You must either return the goods at your own expense or we can arrange collection of the goods via our courier for a fixed fee.

The goods must be returned to us in the same condition they were sent out in.

You have a duty of care under these terms to take good care of the goods so that they may be sold again as new. We will claim from you for any resulting loss in value for goods not kept in such a condition that they may be sold again as new.

Refunds will be done within 30 days from receiving any returned goods as long as goods have been returned and the sections above have been followed. If the goods have not been returned, refunds will not be processed until after the goods have been returned.

Projector Returns Policy

Customers intending to return purchased items must notify the company within 14 days of receipt, through email or written communication, stating their reasons. All returns are subject to delivery and replacement delivery costs, which are non-refundable. The company reserves the right to accept or reject return requests at its discretion.

Faulty Products

Should a product be deemed faulty within 30 days of receipt, customers are required to inform the company via email or in writing, outlining the specific issues encountered. Our warranties policy allows for the company to either repair the faulty product at no additional cost, replace the order free of charge (pending the return of the faulty goods), or issue a full refund upon receipt of the returned items.

Custom Product Returns Policy

Returns of custom products, including custom artwork gobos, catalogue gobos, and others tailored to individual specifications, are not accepted if the issue arises from customer error. However, customers may report a custom product as faulty within 30 days of receipt. In such cases, customers must notify the company and provide detailed reasons for the fault, including size inaccuracies, typographical errors, or manufacturing defects. In accordance with our warranties policy, the company may choose to repair, replace at no extra cost (subject to the return of the faulty goods), or refund the custom product upon its return.

Standard and Custom Goods Returns

Upon receiving notification and the return of goods, the company will examine and report any defects within 30 days. The company is not responsible for warranty breaches if the customer delays the return of goods, uses the goods after discovering faults, or attempts repairs or alterations without the company’s consent.

Further, the company is not liable for warranty breaches if the customer fails to follow standard industry care, handling, installation instructions, or if installation is not performed by a qualified technician according to the specifications for any projection or lighting equipment.


Limitation of Liability

The Company’s liability in contract, tort or otherwise arising out of the subject matter of the Contract shall not exceed £1,000 and the Company shall under no circumstances be liable to the Buyer for any consequential, indirect or economic loss or damages.

The company's liability under the warranty is limited to the repair, replacement, or refund for the goods in question. This limitation excludes responsibility for any damage to third-party equipment, and under no circumstances will the company be liable for consequential, indirect, or economic loss or damages sustained by the customer.


Policy Discretion

The enforcement and application of these policies remain at the sole discretion of the company, ensuring a fair and responsible approach to customer satisfaction and product integrity.


Artwork Submission, Proof Approval, and Return Procedures

Artwork Submission and Adjustment

Upon submission of artwork by the customer, our studio diligently performs necessary adjustments to ensure the artwork is optimised for manufacturing. This process includes enhancing line thickness, colour adjustments for accuracy, and overall optimisation for superior projection quality. Customers receive a digital proof for review, featuring an "Accept" button to indicate approval of the artwork, including verification of the specified gobo size for the projector. Customers satisfied with the proof can proceed to checkout. By submitting artwork to Projected Image, the customer acknowledges and agrees that they bear full responsibility for ensuring that the submitted artwork does not infringe upon any third-party intellectual property rights, including but not limited to copyright, trademark, or any other proprietary rights.

Projected Image assumes no liability or responsibility for any artwork provided by the customer that does not explicitly have the necessary permissions or rights for use. The customer indemnifies and holds Projected Image harmless against any claims, demands, damages, liabilities, and expenses, including legal fees, arising out of or in connection with any infringement or violation of intellectual property rights resulting from the use of submitted artwork.

Projected Image reserves the right to refuse to process any artwork that it reasonably believes may violate intellectual property rights or is otherwise unlawful, offencive, inappropriate, or in violation of these terms and conditions.

Customers are advised to seek legal advice if there are any uncertainties regarding copyright permissions or rights associated with submitted artwork. By submitting artwork to Projected Image, the customer agrees to comply with all applicable laws and regulations concerning copyright and intellectual property rights.


Force Majeure

If either party is subject to an event of Force Majeure, that is circumstances outside its reasonable control, including but not limited to war, fire, industrial disputes or civil commotion, it shall notify the other and the first party’s obligations under these Terms shall be suspended until it notifies the other party of the end of such event of Force Majeure.


General

If any part of these Terms is found to be void or unenforceable by any Court of competent jurisdiction, such part shall be severed from these Terms, which will otherwise remain in full force and effect.

These Terms shall be governed by and interpreted according to English Law and the parties submit to the exclusive jurisdiction of the English Courts.

Changes

Projected Image reserves the right, at its sole discretion, to change, modify, add or remove any portion of these terms in whole or in part, at any time. Changes to the terms will be effective when notice of such changes is posted.

Warranty

Projected Image has used utmost care to ensure and maintain the accuracy, completeness and currency of information published on this site. We, however, take no responsibility for any errors or omission, though if notified of any we will endeavour to rectify such.

Website User Conduct

Users of this web site are not to:
